AI Terms of Service

By accessing or using the AI-powered services provided by TELAIR.NET LTD. (“Company”), including but not limited to AI Sentiment Analysis, Summary Transcription, and AI Tagging services, you (“Customer”) agree to be bound by these Terms of Service (“Terms”). These Terms govern your use of all AI-powered Services and constitute a legally binding agreement between you and the Company.

If you do not agree to these Terms, you must not use the Services. Your continued use of the Services following any modifications to these Terms will be deemed acceptance of those changes.

These Terms apply to all AI-powered features and services offered by TELAIR.NET LTD., including:

  • AI Sentiment Analysis: Analysis of emotional tone and sentiment in communications
  • Summary Transcription: AI-generated summaries and transcriptions of audio communications
  • AI Tagging: Automated categorization and tagging of communications
  • Any future AI-powered features introduced by the Company

The Customer agrees to grant TELAIR.NET LTD. permission to access and process audio recordings, text communications, and other data for the purpose of providing AI-powered services. This permission includes, but is not limited to:

a) Data Access: The Customer confirms that they have obtained all necessary consents and permissions from all relevant parties to record, process, and analyze communications data.

b) Data Processing: The Company may store, analyze, transcribe, summarize, tag, and generate reports based on the provided data. The Customer acknowledges that this processing is essential for the effective delivery of the AI Services.

c) Service Improvement: The Customer understands that anonymized data may be used to improve the Services, including enhancing the accuracy of AI algorithms, models, and features. The Company will take reasonable measures to protect the confidentiality of all data.

d) Compliance: The Customer agrees to comply with all applicable laws and regulations regarding the recording, processing, and analysis of communications.

By using the Services, the Customer affirms that they have the authority to grant these permissions and that they will not hold TELAIR.NET LTD. liable for any claims arising from the use of the data provided for AI processing.

TELAIR.NET LTD. provides AI-powered services on a best-effort basis. The Customer acknowledges and agrees to the following:

a) While the Company strives to deliver accurate and reliable AI analysis, transcriptions, summaries, and tags, the evolving nature of AI technology means that results may vary. The Company does not guarantee specific outcomes, accuracy levels, or results from the use of its AI Services.

b) The Company is committed to continuously improving its AI algorithms, models, and methodologies. As such, the Services may be updated, modified, or enhanced periodically to reflect advancements in technology and feedback from Customers.

c) The Company disclaims all warranties, express or implied, regarding the AI Services, including but not limited to the accuracy, reliability, completeness, or fitness for a particular purpose of any AI-generated content, analysis, or results.

d) It is the Customer’s responsibility to review and validate all AI-generated content, including sentiment analysis reports, transcriptions, summaries, and tags. The Company encourages Customers to use their discretion and judgment in interpreting and applying the results.

By utilizing the Services, the Customer acknowledges that they understand the nature of AI technology and the inherent limitations associated with machine learning and artificial intelligence systems.

The Customer agrees to fulfill the following responsibilities when using the AI Services provided by TELAIR.NET LTD.:

a) Compliance with Laws: The Customer shall ensure that their use of the AI Services complies with all applicable laws and regulations, including but not limited to data protection, privacy, telecommunications, and AI governance laws.

b) Obtaining Consent: The Customer is responsible for obtaining all necessary consents from individuals whose communications are being recorded, transcribed, analyzed, or processed by AI systems. This includes informing them about the purpose of the data collection and the use of AI analysis.

c) Data Quality: The Services rely on clear, high-quality input data for accurate AI processing. The Company is not responsible for any inaccuracies resulting from poor quality recordings, unclear audio, or corrupted data provided by the Customer.

d) Language Requirements: AI Services are optimized for English language processing. Accuracy may vary for other languages or mixed-language content.

e) Review and Validation: The Customer is responsible for reviewing and validating all AI-generated results. The Company recommends that Customers use AI analysis as a supplementary tool rather than the sole basis for decision-making.

f) Reporting Issues: The Customer agrees to promptly report any issues, inaccuracies, or concerns encountered with the AI Services to TELAIR.NET LTD. This feedback is essential for improving service quality.

g) Prohibited Uses: The Customer shall not use the AI Services for any unlawful or unethical purposes, including but not limited to:

  • Harassment or discrimination
  • Violation of privacy rights
  • Generation of misleading or false information
  • Any activity that violates the rights of others
  • Attempting to reverse engineer or extract AI models

By agreeing to these Terms of Service, the Customer acknowledges their understanding of these responsibilities and agrees to adhere to them throughout their use of the AI Services.

To the fullest extent permitted by law, TELAIR.NET LTD. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the AI Services, including but not limited to:

a) Data Loss: The Company is not liable for any loss or corruption of data resulting from the use of the AI Services or any interruptions in service.

b) Accuracy of AI Results: The Company shall not be liable for any inaccuracies in AI-generated content, including but not limited to sentiment analysis, transcriptions, summaries, or tags, or for any decisions made based on such content.

c) Service Interruptions: TELAIR.NET LTD. does not guarantee uninterrupted access to the AI Services and shall not be liable for any downtime, system failures, or delays in service delivery.

d) Third-Party Claims: The Company is not liable for any claims made by third parties arising from the Customer’s use of the AI Services, including claims related to privacy violations, defamation, or unauthorized data processing.

e) AI Hallucinations: The Company is not liable for any AI hallucinations, fabrications, or erroneous outputs that may occur during AI processing.

The aggregate liability of TELAIR.NET LTD. for any claims arising out of or related to these Terms of Service or the AI services provided shall be limited to the amount paid for services during the preceding one-month period. This limitation applies only to Customers who are enrolled in subscription tiers that include AI features and who are paying for the service in full. This limitation does not apply to Customers receiving all or part of their services at a discounted rate.

The limitations set forth in this section shall not apply to any liability that cannot be excluded or limited by applicable law.

The Customer acknowledges that the limitations of liability set forth in this section are fundamental elements of the basis of the bargain between the parties and that the AI Services would not be provided without such limitations.

Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of using the AI Services. This includes, but is not limited to:

  • Business strategies and methods
  • AI model details and algorithms
  • Customer data and communications
  • Any information designated as confidential

Each party shall take reasonable measures to protect the confidentiality of such information and shall not disclose it to any third party without prior written consent from the disclosing party, except as required by law.

TELAIR.NET LTD. is committed to protecting the privacy and security of Customer data processed by AI systems. The Customer agrees to the following:

a) Compliance with Data Protection Laws: The Customer shall comply with all applicable data protection laws and regulations, including but not limited to GDPR, PIPEDA, and any other relevant legislation.

b) Data Processing Agreement: If applicable, the Customer agrees to enter into a separate Data Processing Agreement with TELAIR.NET LTD. to outline the terms under which personal data will be processed by AI systems.

c) Security Measures: TELAIR.NET LTD. implements reasonable technical and organizational measures to protect Customer data from unauthorized access, loss, or alteration during AI processing. However, the Customer acknowledges that no method of transmission over the internet or method of electronic storage is 100% secure.

d) Data Retention and Deletion: The Company shall retain Customer data only for as long as necessary to provide AI Services or as required by law. Upon termination of the Services, TELAIR.NET LTD. will delete or anonymize Customer data in accordance with applicable laws.

The Customer is solely responsible for the content of all data submitted for AI analysis. The Customer represents and warrants that they have the right to provide such data and that it does not infringe on the rights of any third party.

The Company reserves the right to update, modify, or change AI models and algorithms at any time to improve service quality. Such updates may result in variations in output quality or format.

The Customer acknowledges that:

  • AI models have been trained on diverse datasets and may reflect biases present in training data
  • The Company works to minimize bias but cannot guarantee completely unbiased results
  • Anonymized customer data may be used to improve AI models, subject to privacy protections

All AI models, algorithms, and underlying technology remain the exclusive property of TELAIR.NET LTD. or its licensors. The Customer receives no rights to the AI technology beyond the right to use the Services as provided.

Either party may terminate the use of AI Services:

  • By the Customer: Upon written notice to TELAIR.NET LTD.
  • By the Company: Immediately upon violation of these Terms or any applicable laws

Upon termination:

  • All rights to use AI Services cease immediately
  • Customer data will be handled according to the data retention policy
  • Fees incurred up to termination remain payable

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

Disputes shall be resolved through:

  1. Informal negotiation (30 days)
  2. Mediation if negotiation fails
  3. Binding arbitration in Toronto, Ontario as a final resort

TELAIR.NET LTD. reserves the right to amend these Terms at any time. Changes are effective immediately upon posting. Continued use constitutes acceptance of modified Terms.

If any provision is found unenforceable, remaining provisions continue in full force and effect.

These Terms constitute the entire agreement regarding AI Services and supersede all prior agreements.
